1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Count My Boxes website, applications, and services (together, the "Service"), operated by Count My Boxes, part of Pangloss Technologies ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Count My Boxes provides inventory and warehouse management software delivered over the internet, including stock tracking, purchasing, sales, customer portals, and related features. We may add, change, or remove features over time. We aim to give reasonable notice of material changes that adversely affect your use.

3. Accounts and eligibility

• You must provide accurate information when you create an account and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You must promptly notify us of any unauthorized use of your account.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer or attempt to extract source code except as permitted by law;
• Upload malware or use the Service to store or transmit infringing or unlawful content;
• Resell or provide the Service to third parties except as expressly permitted.

5. Your data

You retain all rights to the data you put into the Service ("Your Data"). You grant us the limited rights needed to host, process, back up, and display Your Data in order to operate the Service for you. You can export Your Data at any time, and you can ask us to delete it. 6. Fees

Count My Boxes offers a free plan and paid subscription plans. Current prices for each plan are listed on our pricing page. Paid plans are billed in advance, monthly or annually, through our payment processor Stripe, and renew automatically at the end of each billing period until you cancel. You may cancel a paid plan at any time; cancellation takes effect at the end of your current billing period, your access continues until then, and afterward your account moves to the free plan. Fees do not include applicable taxes, which may be added to your invoice. We may change our prices from time to time and will give you advance notice before a price change applies to your account. Refund and cancellation details are set out in our Refund & Cancellation Policy. You will never be charged without first agreeing to a paid plan.

7. Availability and support

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors outside our control. Support is available by email at our support address.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Data), is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service except the limited right to use it as described here.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for verifying that the Service meets your requirements and for maintaining your own records.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose (or, if the Service was free, USD 100).

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. On termination, you may export Your Data for a reasonable period, after which we may delete it.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws rules, and any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.

14. Changes to these terms
